THE TITELS OF PBF-BOXING (PBF PRO BOXING FEDERATION) ARE NEW CONCEPT OF BOXING TITLES BECAUSE PBF-BOXING (PBF PRO BOXING FEDERATION) DONT WANT AND DONT HAVE INTERESEST IN CREATE NEW COMPETITION OR PARALEL COMPETITION WITH THE OTHER WORLD BODY.
THE TITLES PBF-BOXING (PBF PRO BOXING FEDERATION) ARE CONSIDERATE INTERMEDIATE TITLES
PBF-BOXING (PBF PRO BOXING FEDERATION) GENERAL RULES:
The Bylaws of the PBF-BOXING (PBF PRO BOXING FEDERATION)
The PBF-BOXING (PBF PRO BOXING FEDERATION) ́s involvement in a championship contest is limited to sanctioning bouts as Championship Title fights,
PBF PRO BOXING FEDERATION nominating the referee and judges in conjunction with the local boxing commission and sending a representative to present the PBF-BOXING (PBF PRO BOXING FEDERATION) Championship belt to the winner. Nothing contained herein shall be construed to indicate that the PBF-BOXING (PBF PRO BOXING FEDERATION) arranges, promotes, organizes or produces professional boxing matches. The supervision and safety standards in a World Championship contest are expressly controlled by the State or Country Commission legally organized to regulate, control or supervise professional boxing within its jurisdiction. The jurisdiction of the PBF-BOXING (PBF PRO BOXING FEDERATION). is strictly limited to rankings, entitlement to its Championship title and the designation of a fighter as a PBF-BOXING (PBF PRO BOXING FEDERATION) Champion.
1. DIRECTORS
(a) BOARD OF DIRECTORS The business of the PBF-BOXING (PBF PRO BOXING FEDERATION) shall be managed and its company powers exercised by a board of two (2) Directors, each of whom shall be of full age.
(b) ELECTION AND TERM OF DIRECTORS Directors shall be elected at the annual meeting of Shareholders and each Director elected shall hold office until his successor has been elected and qualified, or until his prior resignation or
removal.
(c) VACANCIES If the office of any Director, member of a committee or other officer becomes vacant, the Directors in office, by a majority vote, may appoint any qualified person to fill such vacancy, who shall hold office for the
unexpired term and until his successor shall be duly chosen.
(d) REMOVAL OF DIRECTORS Any or all of the Directors may be removed with or without cause by vote of a majority of all of the shares outstanding and entitled to vote at a special meeting of Shareholders called for that purpose.
(e) NEWLY CREATED DIRECTORSHIP The number of Directors may be increased by amendment of these by- laws, by the affirmative vote of a majority in interest of the Shareholders, at the annual meeting or at a special meeting called for that purpose, and by like vote the additional Directors may be chosen at such meeting to hold office until the
next annual election and until their successors are elected and qualify.
(f) RESIGNATION A Director may resign at any time by giving written notice to the Board, the President or the Secretary of the PBF-BOXING (PBF PRO BOXING FEDERATION) Unless otherwise specified in the notice, the resignation shall take effect upon receipt
thereof by the Board of such officer, and the acceptance of the resignation shall not be necessary to make it effective.
(g) QUORUM OF DIRECTORS A majority of the Directors shall constitute a quorum for the transaction of business.
(h) PLACE AND TIME OF BOARD MEETING The Board may hold its meeting at the office of the PBF-BOXING (PBF PRO BOXING FEDERATION) or at such other places, either within or without the United States as it may from time to time determine.
(i) NOTICE OF MEETING OF THE BOARD A regular annual meeting of the Board may be held without notice at such time and place as it shall from time to time determine. Special meetings of the Board shall be held upon notice to the Directors and may be called by the President upon three(3) days notice to each Director either personally or by mail or by
wire; special meetings shall be called by the President or by the Secretary in a like manner on written request of two (2) Directors. Notice of a meeting need not be given to any Director who submits a waiver of notice whether before or after the meeting or who attends the meeting without protesting prior thereto or at its commencement, the lack of notice to him.
(j) REGULAR ANNUAL MEETING A regular annual meeting of the Board shall be held immediately following the annual meeting of Shareholders at the place of such annual meeting of Shareholders.
(k) EXECUTIVE AND OTHER COMMITTEES The Board, by resolution, may designate two (2) or more of their members to any committee. To the extent provided in said resolution, or these by-laws, said committee shall exercise
the powers of the Board, concerning the management of the business of the PBF-BOXING (PBF PRO BOXING FEDERATION).
(l) COMPENSATION No compensation shall be paid to Directors, as such, for their services, but by resolution of the Board, a fixed sum and expenses for actual attendance, at each regular or special meeting of the Board may be authorized. Nothing herein contained shall be construed to preclude any Director from serving in any other capacity and receiving compensation therefor.
2. OFFICERS(a) OFFICERS, ELECTION AND TERM
(I) The Board may elect or appoint a Chairman, President, one Vice-President, a Secretary and such other officers as it may determine, who shall have such duties and powers as hereinafter provided;
(II) the President and Vice-President shall serve for an initial term of six (6) years;
(III) all other officers shall be elected or appointed to hold office until the meeting of the Board following the next annual meeting of Shareholders and until their successors have been elected or appointed and qualified;
(IV) any two (2) or more offices may be held by the same person; (b) REMOVAL, RESIGNATION, SALARY, ETC.
(I) Any officer elected or appointed by the Board may be removed by the Board with or without cause;
(II) in the event of the death, resignation or removal of an officer, the Board in its discretion but subject to the Shareholders agreement may elect or appoint a successor to fill the unexpired term;
(III) any officer elected by the Shareholders may be removed only by vote of the Shareholders unless otherwise provided by the Shareholders;
(IV) the salaries of all officers shall be fixed by the Board. (c) DUTIES
PBF PRO BOXING FEDERATION. The officers of this PBF-BOXING (PBF PRO BOXING FEDERATION) shall have the following duties: The President shall be the Chief Operating Officer and have general and active management of the daily business and affairs of the PBF-BOXING (PBF PRO BOXING FEDERATION) The Chairman shall be the chief executive officer of the PBF-BOXING (PBF PRO BOXING FEDERATION) and shall preside at all meetings of the Directors and Shareholders.
The PBF-BOXINGSecretary shall have custody of, and maintain, all of the PBF-BOXING (PBF PRO BOXING FEDERATION) records and the financial records; shall record the
minutes of all meetings of the Shareholders and Board of Directors, send all notices of all meetings and perform such other duties as may be prescribed by the Board of Directors or the President. The Secretary shall keep full and accurate accounts of receipts and disbursements and render accounts thereof at the annual meetings of the Shareholders and whenever else required by the Board of Directors, the President or the Chairman, and shall perform such other duties as may be prescribed by the Board of Directors, the President, or Chairman.
(d) REMOVAL OF OFFICERS
An officer or agent elected or appointed by the Board of Directors may be removed by the Board whenever in its judgment, the best interests of the PBF-BOXING (PBF PRO BOXING FEDERATION) will be served thereby. Any vacancy in any office may be filled by the
Board of Directors.3. DISCIPLINARY ACTION
(a) The Board of Directors shall have the power to order to appear before it any member alleged to have committed any breach of the Regulations, by-laws or Rules made thereunder or to have acted in such a way as to bring the sport
into disrepute. The Board of Directors shall have additional power to hear and adjudicate upon a complaint made by any member against another member. Seven (7) days notice shall be given of any such hearing. The member shall be entitled to be assisted by a representative, who may be legally qualified, at any such disciplinary hearing.
(b) The Board of Directors shall have the power to impose such penalty including fine, suspension or withdrawal of membership as it shall deem appropriate.
(c) Members shall have a right of appeal to the Grievances and Appeals Committee of the PBF-BOXING (PBF PRO BOXING FEDERATION). Notice of Appeal must be given in writing to the Secretary with fourteen (14) days of the decision appealed against. At any appeal
hearing the member shall be entitled to be assisted by a representative, who may be legally qualified. 4. CHAMPIONSHIPS
Championships shall be governed by the World Championships Regulations and amendments thereto. 5. MEMBERSHIP
a) All individuals and bodies wishing to become a member of the PBF-BOXING (PBF PRO BOXING FEDERATION) shall apply for membership to act in one capacity only. Membership shall be valid for one year and may be renewed upon payment of the appropriate fee unless withdrawn or suspended by the PBF-BOXING (PBF PRO BOXING FEDERATION) at it sole and absolute discretion or surrendered by the member.
(b) Membership may be withdrawn or suspended if the PBF-BOXING (PBF PRO BOXING FEDERATION) if it is satisfied that the member is in arrears in payment of the renewal fee.
(c) A member shall be deemed to have received and accepted the Constitution and by-laws and Championship Rules made there under and shall use his best endeavors to uphold the good name of martial arts.
6. AMENDMENTS
No amendments shall be made to the by-laws except at the annual meeting and by majority vote of the Board of Directors.
7. PROMOTER
(a) Every promoter must be a current member of the PBF-BOXING (PBF PRO BOXING FEDERATION) at the time of the contest or promotion for which he is responsible. A membership is not transferable.
(b) The PBF-BOXING (PBF PRO BOXING FEDERATION). may make such inquiries and carry out such investigations of the applicant for a membership as it shall see fit in its absolute discretion.
(c) The PBF-BOXING (PBF PRO BOXING FEDERATION) and its logo will be printed on all promoter advertisements, posters, programs and all pre-fight press.
(d) Promoters shall make provisions for the safety of all PBF-BOXING (PBF PRO BOXING FEDERATION) officials while they are working at the said venue.
(e) All license fees are subject to the fee schedule of the PBF-BOXING (PBF PRO BOXING FEDERATION) and shall be paid by the promoter to the PBF-BOXING (PBF PRO BOXING FEDERATION).
(f) All promoters must be paid up members of the PBF-BOXING (PBF PRO BOXING FEDERATION) before promoting an PBF-BOXING (PBF PRO BOXING FEDERATION) contest.
(g) All officials paid by the promoter and designated by the local commission must comply with the Rules and Regulations governing championship contests.
(h) A promoter shall be responsible for ensuring compliance with the legal requirements of the Country in respect to a contest under the approval of the PBF-BOXING (PBF PRO BOXING FEDERATION).
(i) Promoters must comply with the provisions contained in the Rules and by-laws relating to television, radio and film coverage and sponsorship. The PBF-BOXING (PBF PRO BOXING FEDERATION) has no claim to any fees from television, radio or film coverage or
sponsorship, but expects the PBF-BOXING (PBF PRO BOXING FEDERATION) to be announced as a licensing body. 8. MEDICAL TESTING AND APPROVAL
(a) Boxers shall be required to be medically examined and approved by the local commission doctor not more than twenty-four (24) hours prior to the contest.
(b) Boxers must hold a current valid license from a commission, region or appropriate governing body.
(c) Minimum physical requirements and safety requirements are governed by local commission rules where the fight is to be held.
9. OFFICIALS
Each bout will be officiated by a minimum of three (3) judges and a referee who must be approved by the PBF-BOXING (PBF PRO BOXING FEDERATION) to officiate.
10. OFFICIATING
The Rules and Regulations governing Championship contests and all amendments thereto are expressly incorporated into these by-laws.
11. REPRESENTATION AT A CHAMPIONSHIP CONTEST
PBF PRO BOXING FEDERATIONPBF-BOXING(a) The PBF-BOXING (PBF PRO BOXING FEDERATION) shall appoint an PBF-BOXING (PBF PRO BOXING FEDERATION) Commissioner to represent the PBF-BOXING (PBF PRO BOXING FEDERATION) at each contest.PBF-BOXING PBF-BOXING...PRO BOXING FEDERATION-
(b) The PBF-BOXING (PBF PRO BOXING FEDERATION) shall appoint a sufficient number of Commissioners under the direction of the President and Chairman so that all regions are covered.
(c) The PBF-BOXING (PBF PRO BOXING FEDERATION) shall appoint a commissioner to carry out any and all of the following duties: Meet with the local commission.
Be present for the weigh-in ceremony to confirm weights.Confirm that the medical examination by the local commission has approved the fighters. Approve the weight of boxing gloves.
Collect license fees and officials payment. Represent the PBF-BOXING (PBF PRO BOXING FEDERATION) at the rules meeting.
Meet with the officials.Approve the ring size.Maintain control over the PBF-BOXING (PBF PRO BOXING FEDERATION) scorecards. Prepare the commissioner's report.

(d) The Commissioner's report will be completed and forwarded to the President for analysis. If it is determined that there have been any violations of the rules, a violation report will be completed and forwarded to the Chairman of the
PBF-BOXING (PBF PRO BOXING FEDERATION) who will bring it to the attention of the Board of
Directors. 12. FEES
It depends of the national organization.
These Bylaws may be altered, amended or repealed, and new Bylaws adopted, by a majority vote of the directors or by a vote of the shareholders holding a majority of the shares.
